Important: Please read this End User Licence Agreement (“EULA”) carefully before downloading, installing, or using Orbit. By downloading, installing, or using Orbit, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the software.
This End User Licence Agreement is a legal agreement between you (“User”, “you”, or “your”) and South Loop Studios Limited (“Company”, “we”, “us”, or “our”), a company registered in England and Wales, for the use of Orbit software (“Software”).
1. Licence Grant
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:
- Download and install the Software on devices you own or control
- Use the Software for personal or internal business purposes
- Use the Software in accordance with any applicable licence tier (e.g., individual, educational, or volume)
This licence does not grant you any ownership rights in the Software. All rights not expressly granted are reserved by South Loop Studios Limited.
2. Licence Restrictions
You may not:
- Transfer your licence to any other person or entity
- Sell, resell, rent, lease, lend, or sublicense the Software or your licence
- Share licence keys, activation codes, or account credentials with others
- Copy or distribute the Software except as expressly permitted
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software
- Modify, adapt, translate, or create derivative works based on the Software
- Remove, alter, or obscure any copyright, trademark, or proprietary notices
- Circumvent, disable, or interfere with any licensing, copy protection, or security features
- Use the Software for any unlawful purpose or in violation of any applicable laws
3. Non-Transferability
Your licence is personal to you and is strictly non-transferable. This means:
- You cannot give, sell, or assign your licence to another person or organisation
- Licences cannot be transferred as part of a business sale or merger without our prior written consent
- Educational licences are tied to the eligible institution and individual and cannot be transferred
- Volume licences are tied to the purchasing organisation and cannot be resold
Any attempted transfer in violation of this section is void.
4. Beta Software
If you are using a beta, preview, or pre-release version of the Software (“Beta Software”), the following additional terms apply:
- Beta Software is provided for testing and evaluation purposes only
- Beta Software may contain bugs, errors, and incomplete features
- Beta Software is provided “as-is” without any warranty
- We may collect diagnostic data, crash reports, and usage analytics to improve the Software
- Beta access may be revoked at any time without notice
- You agree not to publicly disclose, review, or benchmark Beta Software without our permission
- Beta Software may expire or cease to function after a certain date
5. Intellectual Property
The Software, including all code, graphics, user interface, audio, video, text, and documentation, is owned by South Loop Studios Limited and is protected by copyright, trademark, and other intellectual property laws. Orbit Spatial is a registered trademark of South Loop Studios Limited. This EULA does not grant you any rights to our trademarks, logos, or branding.
6. Your Content
You retain all rights to any audio files, projects, or other content you create or load using the Software (“Your Content”). We do not claim ownership of Your Content. The Software processes Your Content locally on your device unless otherwise stated.
You are solely responsible for ensuring you have the necessary rights to use any content loaded into the Software.
7. Feedback
If you provide feedback, suggestions, or ideas about the Software (“Feedback”), you grant us a worldwide, royalty-free, perpetual, irrevocable licence to use, modify, and incorporate such Feedback into our products and services without any obligation to you.
8. Updates and Support
We may release updates, patches, or new versions of the Software from time to time. Updates may be required to continue using the Software. We reserve the right to:
- Modify, add, or remove features at any time
- Discontinue support for older versions
- Require online activation or periodic licence validation
9. Privacy and Data Collection
Our collection and use of personal information is governed by our Privacy Policy, which explains what we process, why, and the legal bases we rely on.
The Software may share anonymous usage analytics and crash reports to help us improve the product. This data is collected using our own in-house system, is not tied to your identity or account, and is never sold or shared with third parties for their own purposes. Usage analytics are optional — you can opt out at any time in the application’s privacy settings. See the Usage Data and Analytics section of our Privacy Policy for details.
10. Disclaimer of Warranties
To the maximum extent permitted by applicable law:
- The Software is provided “as-is” and “as available” without warranties of any kind
- We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement
- We do not warrant that the Software will be error-free, secure, or uninterrupted
- We do not warrant that the Software will meet your requirements or expectations
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of profits, data, business, or goodwill
- Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim
Nothing in this EULA limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
12. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:
- You must cease all use of the Software
- You must delete or destroy all copies of the Software in your possession
- Sections relating to intellectual property, disclaimers, limitations of liability, and governing law shall survive termination
13. Export Compliance
You agree to comply with all applicable export and import laws and regulations. You may not export or re-export the Software to any country, person, or entity prohibited by applicable laws.
14. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and South Loop Studios Limited regarding the Software and supersedes all prior agreements and understandings.
15. Amendments
We may update this EULA from time to time. Any changes will be posted on our website with an updated revision date. Your continued use of the Software after changes are published constitutes acceptance of the updated EULA.
16. Governing Law
This EULA is governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.
